Job Description


The Corporate/Real Estate Counsel is an integral part of the business teams’ efforts to establish and evaluate existing and potential business relationships, with significant responsibilities for negotiating, preparing, and review of contracts.


  • Prepare, examine, and negotiate contracts involving sales of solar facility assets, financing, real property sales, and real property leases and licenses.
  • Provide legal advice to the organization, prepare resolutions and forms, understand design/build and related concepts, and participate in major legal actions.
  • Foresee and protect the company against legal risks through dispute avoidance and resolution, review of contract documents, contract negotiations, and handling of specialty trade contractors and supplier disputes.
  • Provide management team with day-to-day legal perspective and guidance, as well as risk assessment and mitigation.
  • Review acquisition and divestiture transactions, including due diligence, negotiation and preparation of term sheets and definitive agreements, and assistance with financing documentation and closing processes.
  • Assist with management of intellectual property portfolio.
  • Work closely with business teams on risk assessment and on compliance-related processes and procedures to support the company’s compliance environment.
  • Coordinate with outside counsel on litigation and specialized issues as required.
  • Assist with a variety of corporate matters including organizational documents, company structure, and management of corporate entities.


  • An overall experience level at a minimum of (5) years.
  • Prior experience working with an Energy Company, Solar Energy preferred.
  • North Carolina Licensed Attorney is most desired.
  • Outstanding negotiating, communication, drafting, and writing skills.
  • Experience with corporate general transactions and dispute resolution
  • Experience with commercial real estate transactions
  • Possess a high degree of business savvy, integrity, candor, intellectual curiosity, and self-motivation.
  • Strategic thinking and innovative, creative problem-solving, often in unprecedented cutting-edge scenarios.
  • Positive attitude and strong interpersonal skills, with a well-developed sense of humor, fun and adventure.
  • Previous experience operating effectively in a fast paced and dynamic environment.

Job Requirements


  • Graduate of an accredited law school with 5 or more years of experience, preferably in corporate/transactional law and commercial real estate transactions.
  • Licensed to practice in the State of North Carolina.
  • Construction and/or Solar industry experience is highly desireable.
